Agreement for the Use of the GAAAP Digital Platform for Hosting Conservation Listings and Fundraising

  1. Acceptance of Terms

Introduction: By registering as a conservation on the GAAAP Digital Platform, you are entering into a legally binding agreement with Global Awareness Awakening Action Programme (GAAAP Pty Ltd), herein referred to as GAAAP.” We are thrilled to have you join us in our mission to support conservation efforts worldwide. However, it’s crucial that you carefully read and fully understand these terms and conditions before proceeding to use our platform.

By registering as a conservation member, you acknowledge and agree to be bound by the terms set forth in this agreement. These terms outline the rules, responsibilities, and expectations governing your use of the platform. They are designed to ensure a positive and productive environment for all conservation organizations and supporters on our platform. We reserve the right to amend or make changes to our Terms and Conditions without prior notice.

Purpose of the Agreement: This agreement serves as a legal contract between you and GAAAP, outlining the terms and conditions that govern your participation on the platform. It clarifies the rights and obligations of both parties and sets the foundation for a mutually beneficial partnership focused on the conservation of our planet’s biodiversity.

Scope of Conservation: As a conservation on GAAAP, you play a vital role in raising awareness, garnering support, and furthering the cause of conservation. Your efforts contribute to the preservation of endangered species, protection of natural habitats, and the overall well-being of our environment and society. It’s our shared commitment to these goals that brings us together through this digital platform.

Understanding Your Responsibilities: Before proceeding, please take the time to thoroughly review and comprehend these terms and conditions. Your responsibilities include providing accurate and complete information during the registration process, maintaining the security of your account, and ensuring that all content you post on our platform complies with our community guidelines.

Your Consent: By registering on GAAAP, you explicitly consent to the terms and conditions outlined in this agreement. If you do not agree with any part of these terms, you should not proceed with the registration process. Your decision to become a conservation member signifies your acceptance of this contract.

Our Commitment: GAAAP is dedicated to providing a platform that empowers conservation organizations and enthusiasts to connect, collaborate, and make a positive impact. We are committed to upholding these terms and ensuring a safe, respectful, and productive online environment for our community.

  1. Registration and Conservation Responsibilities

Registration Requirements: As a valued conservation member of the GAAAP Digital Platform, it is imperative that you adhere to certain registration requirements:

  1. PayFast Account: Please be advised that your registered NPC/NGO must possess an authorized PayFast Account linked to a registered South African Bank Account. PayFast does an in depth verification of your organization. This is essential as it aligns with our preferred payment gateway requirements and is indispensable for facilitating donation transactions on our platform for your Non Profit Organization.
  2. Registered NPO/NPC/NGO: We mandate that you are a registered Conservation Organization with the corresponding certification documents to be uploaded to GAAAP.
  3. Accurate Information & Documents: During the registration process, you must provide us with accurate and complete information about your conservation organization. This includes details about your mission, the scope of your conservation efforts, financials, testimonials, references and/or any relevant contact information. Transparency at this stage helps us ensure the credibility and legitimacy of all participants on our platform. GAAAP reserves the right to make changes to or to dismiss the agreement in terms of updates about the conservations, for example reports or negative feedback.
  4. Mission and Conservation Efforts: We encourage you to clearly articulate your organization’s mission and the specific conservation efforts you are engaged in. Providing this information not only helps the public understand your goals but also assists potential supporters in identifying causes they are passionate about.

Account Security: Maintaining the security of your account is of utmost importance. Your account serves as the gateway to our platform, and you are responsible for safeguarding it:

  1. Confidentiality: Keep your account credentials, including your password, confidential. Do not share this information with anyone else. If you suspect that your account security has been compromised, please notify us immediately.
  2. Unauthorized Use: If you become aware of any unauthorized use of your account or suspect any suspicious activity, it is your responsibility to promptly inform us. This ensures that we can take appropriate measures to protect your account and the platform’s security.

Content Responsibility: You have a significant role in shaping the content and interactions on the GAAAP Digital Platform. With that role comes the responsibility to create a respectful and informative environment:

  1. Content Ownership: You retain ownership of all the content you post on our platform. However, by posting content, you grant GAAAP a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable right to use, reproduce, modify, and distribute such content for the purpose of promoting conservation efforts.
  2. Accuracy: It is your duty to ensure that all content, whether articles, images, event listings, or any other material, is accurate and reliable. Misleading or false information can harm your organization’s reputation and undermine the credibility of the platform.
  3. Respect and Compliance: All content posted must adhere to our community guidelines, which foster respectful and constructive interactions. Content that violates these guidelines, promotes discrimination, harassment, or infringes upon the rights of others, will not be tolerated.

By accepting these terms and becoming a conservation member on the GAAAP Digital Platform, you acknowledge your commitment to upholding these registration and conservation responsibilities. Your dedication to maintaining the integrity and security of your account, as well as the quality of content you contribute, is fundamental to the success of our shared mission in the conservation community.

 

  1. Content Ownership

Your Content: At GAAAP, we understand the importance of recognizing and respecting the ownership of the content you contribute to our platform. We want to clarify the ownership rights of the content you post:

  1. Ownership: When you create and post content on our platform, whether it’s articles, images, event listings, or any other materials related to your conservation efforts, you retain full ownership of that content. This means that you continue to hold the rights to your intellectual property.
  2. Usage Rights: However, by posting your content on our platform, you grant GAAAP a set of specific usage rights. These rights are designed to facilitate the promotion of conservation efforts and the sharing of valuable information within our community:
  3. Non-Exclusive: The rights granted to GAAAP are non-exclusive, meaning you retain the freedom to use your content in other ways and share it with others outside of our platform.
  4. Royalty-Free: You grant these rights without any requirement for payment or compensation from GAAAP. We do not owe you royalties or fees for using your content.
  5. Worldwide: The rights extend worldwide, allowing us to use your content in various regions to promote conservation initiatives globally.
  6. Perpetual: The rights are perpetual, meaning they do not expire. This allows us to continue using your content to support conservation efforts indefinitely.
  7. Irrevocable: The rights granted are irrevocable, meaning that once you’ve allowed us to use your content for the stated purposes, you cannot retract or withdraw these permissions.

Promotion of Conservation Efforts: The purpose of these usage rights is to enable GAAAP to promote and advance conservation efforts. This may involve sharing your content on our platform, social media channels, newsletters, blog posts, articles or other promotional or educational materials related to our mission and vision.

Recognition and Attribution: While we have the right to use your content for promotion, we understand the importance of recognizing your contributions. We will make reasonable efforts to provide appropriate attribution to you whenever your content is used, acknowledging your role in supporting conservation causes.

These content ownership terms are in place to ensure that your valuable contributions have a meaningful impact in the conservation community. By participating on our platform, you acknowledge and agree to these terms, understanding that they help amplify the reach and effectiveness of our shared conservation efforts.

 

  1. Termination

Termination Rights: It is important to understand the conditions under which your conservation membership on GAAAP may be terminated:

  1. Platform’s Termination Right: GAAAP maintains the right to terminate your conservation membership at any time, for any reason, and without prior notice. While we strive to provide a supportive and collaborative environment, there may be circumstances where termination is deemed necessary to protect the community, uphold our terms and guidelines, or for other valid reasons.
  2. Your Termination Right: In addition to GAAAP’s termination right, you have the option to terminate your conservation membership at any time. To do so, you must provide written notification to GAAAP. This notification allows us to process your request promptly.

Reasons for Termination: While we aim to maintain a positive and inclusive community, there are certain actions or behaviors that may lead to termination of your membership. These reasons may include, but are not limited to:

Violation of Terms: Engaging in activities that breach the terms and conditions outlined in this agreement, including violations of content guidelines.

Inappropriate Conduct: Participating in harassment, discrimination, hate speech, or any other behavior that creates an unsafe or hostile environment for others.

Misuse of the Platform: Exploiting the platform for fraudulent, malicious, or unlawful purposes.

Non-Compliance: Failing to adhere to GAAAP’s community guidelines, content policies, or specific platform rules.

Security Concerns: Engaging in activities that compromise the security or integrity of the platform or other members’ accounts.

Effect of Termination: In the event of termination, whether initiated by GAAAP or yourself, the following effects may apply:

  1. Access Revocation: You will no longer have access to the platform and its associated features.
  2. Content Removal: Your posted content may be removed from the platform, in accordance with our policies.
  3. c. Account Closure: Your account may be closed, and any personal data in our possession will be handled in accordance with our privacy policy.

By accessing and using this site:  you acknowledge and agree to refrain from engaging in the following activities:

  1. Inappropriate Content: Posting content that is harmful to others or may cause reputational harm. This includes discriminatory comments, inappropriate or profane content, the distribution of child pornography, hate speech, or content designed to abuse, stalk, harass, or physically threaten others.
  2. Intellectual Property Violations: Posting content that violates intellectual property laws, including copyrighted or patented material.
  3. Sensitive, Misleading or False Information: Posting content that is misleading, false, or intentionally inaccurate. Information that is sensitive and vulnerable must be kept confidential from all parties.
  4. Fraudulent Information: Posting fraudulent information.
  5. Privacy Violations: Disclosing banking details of the beneficiary or campaign creator on a campaign page, charity profile page, or anywhere on the site.
  6. Illegal Content: Posting content that is illegal, violates any domestic or international law, or breaches a legal duty owed to others.
  7. Spam and Unsolicited Activity: Engaging in spam or any other unsolicited mass mailing activity without the consent of recipients.
  8. Security Threats: Posting content that threatens the security of the site or users’ computers, including the distribution of malware, viruses, Trojan horses, or any harmful software.
  9. Prohibited Financial Content: Campaign content offering contests, competitions, giveaways, sweepstakes, monetary or other rewards for donations, annuities, investments, equity or lottery contracts, off-shore banking, money service businesses, pyramid schemes, “get rich quick schemes,” network marketing, referral marketing programs, debt collection, or cryptocurrencies.
  10. Legal Case Details: Posting details of pending or current legal cases.

Please also avoid participating in the following activities:

  1. Privacy Violations: Disseminating other people’s private/sensitive information received through the Services. Keep such information private and use it solely for participating in GAAAP projects. Do not share or distribute user information without their permission.
  2. Interference with GAAAP: Interfering with the proper working of GAAAP, engaging in activities that disrupt the site or services.
  3. Security Bypass: Bypassing any security measures implemented by GAAAP to restrict access to certain sections of the site.
  4. Unauthorized Access Attempts: Attempting to obtain unauthorized access to any data, password, or restricted information belonging to GAAAP, its affiliates, or any user of the site.
  5. Infrastructure Strain: Engaging in activities that place a disproportionately large load on the infrastructure of GAAAP or its affiliates.

Your cooperation in adhering to these guidelines is essential for maintaining a positive and secure environment on GAAAP. Failure to comply with these terms may result in appropriate action, including the termination of your access to the site.

Appeals: If you believe that your membership was terminated unjustly or wish to appeal the decision, you may contact our support team. We will review your appeal in a fair and timely manner.

We hope that your experience on GAAAP is positive and productive. However, it is important to be aware of these termination rights and the reasons that may lead to such actions. We are committed to maintaining a safe and respectful environment for all conservation members and supporters, and these termination provisions are in place to support that commitment.

 

  1. Disclaimers and Limitation of Liability

Platform Warranty: It is essential to understand the nature of the services provided by GAAAP and the limits of our responsibility:

  1. Platform “As Is”: GAAAP provides the platform in its current state, without any warranties or guarantees of any kind, whether express or implied. This means that we do not make promises regarding the accuracy, reliability, ability or completeness of the content available on our platform.
  2. User Responsibility: Users of the platform are responsible for their own experiences and use it at their own risk. We encourage all users to exercise caution and diligence when interacting with content and other members on the platform.

Limitation of Liability: It is important to recognize the extent of GAAAP’s liability in connection with your use of the platform:

  1. No Indirect, Incidental, Special, or Consequential Damages: In no event shall GAAAP, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. This includes, but is not limited to, damages for loss of profits, data, reputation, or goodwill, even if we have been advised of the possibility of such damages.
  2. Maximum Liability: GAAAP’s maximum liability, if any, for any claim arising from your use of the platform shall not exceed the total amount paid by you (if applicable) for any premium membership services.
  3. Legal Compliance: Our platform operates within the bounds of applicable laws and regulations. We do not assume responsibility for any content or actions that may violate local, national, or international laws, and users are expected to comply with the legal requirements governing their activities on the platform.
  4. Content Accuracy: While we strive to maintain a high standard of accuracy and reliability when validating your organization/conservation, we cannot guarantee the accuracy, completeness, or timeliness of content posted by users. Users are encouraged to independently also verify information and exercise discretion.

These disclaimers and limitations of liability are in place to set realistic expectations regarding the use of GAAAP’s platform. We aim to provide a valuable and supportive environment for conservation efforts, but it is essential for users to understand their own responsibilities and the inherent limitations associated with online platforms.   2. Costs and Expenses: This includes covering any legal costs and expenses, including attorney’s fees, incurred by GAAAP in connection with your actions on the platform.

Purpose of Indemnification: Indemnification is a standard legal practice that helps protect GAAAP from potential legal and financial consequences that may arise from user activities. It ensures that you are responsible for any harm or damage caused by your actions on the platform.

Compliance with Terms: To avoid the need for indemnification, we strongly encourage all users to adhere to these terms and guidelines, and to use the platform in a responsible and respectful manner. By doing so, you can contribute to a positive and supportive community where the need for indemnification is minimized.

Notification: In the event that GAAAP becomes aware of a situation that may lead to indemnification, we will notify you promptly. We will also cooperate with you in addressing the issue to the best of our abilities.

Your continued use of the platform after being informed of these changes constitutes your acceptance of the modified terms. If you do not agree with the updated terms, you have the option to terminate your membership, as outlined in the termination clause.

Stay Informed: We encourage you to stay informed about the latest terms and any updates that may occur. Regularly reviewing these terms ensures that you remain aware of your rights and responsibilities within the GAAAP conservation community.

Our commitment to transparency and communication extends to changes in these terms and conditions. By using GAAAP, you acknowledge your responsibility to stay informed about any updates and agree to accept them when you continue to use the platform after being notified of significant changes.

 

  1. Governing Law

Legal Jurisdiction: This clause addresses the legal jurisdiction and governing law that applies to the agreement between you and GAAAP, particularly in the context of South African laws:

  1. Local Jurisdiction: South Africa has its own set of laws and legal systems that govern various aspects of commerce, including online platforms like GAAAP. As such, it is important to specify the legal jurisdiction that applies to our agreement. These include but are not limited to PAIA, POPIA and the FIC Act.
  2. Compliance with South African Laws: GAAAP operates in accordance with South African laws and regulations relevant to online platforms, data protection, and online commerce. This ensures that our platform is compliant with local legal requirements. To go into further details about our compliance with these laws, please refer to our PAIA Manual and our Privacy Policy (POPIA) found on our website.
  3. Conflict Resolution: In the event of any disputes or legal matters arising from our agreement or your use of the platform, this clause establishes that South African laws and legal processes will be used to resolve such issues.
  4. Consistency and Predictability: By specifying the governing law, we aim to provide consistency and predictability in the event of legal matters. This allows both parties to understand the legal framework under which our agreement operates.
  5. Protection of User Rights: South African laws are designed to protect the rights and interests of users and consumers. This jurisdiction is chosen to ensure that users of GAAAP are afforded the legal protections and rights that apply within the South African legal context.
  6. Compliance with Local Regulations: GAAAP is committed to complying with all relevant South African laws and regulations. This includes data protection, consumer rights, and other legal requirements that may apply to online platforms.

It’s important to note that South African laws and legal requirements may evolve over time. Therefore, we encourage you to review our terms and conditions periodically to ensure ongoing compliance with the most current legal standards and regulations in South Africa. By using GAAAP, you agree to be bound by the governing law specified in this agreement and to abide by the legal framework provided by South African jurisdiction and our own T’s and C’s.

 

  1. Contract between Conservation Project and Contributor

GAAAP serves as a funding platform for conservation projects. When a conservation project is published on GAAAP, it constitutes an invitation for individuals to enter into a legal contract with them. Contributors (donors/volunteers) who support a conservation project accept the project’s offer, forming a direct legal agreement with the conservation project. The terms governing this contract are as follows:

  1. Purposeful Use of Funds: Upon successful funding, the conservation project commits to utilizing the funds for the advertised purpose. Meeting this obligation satisfies the project’s commitment to its contributors.
  2. Standard of Conduct: Throughout the process, conservation projects are obligated to maintain a high standard of effort, honesty, transparency, and a dedication to achieving the stated goals.
  3. Understanding Potential Delays: Contributors must acknowledge the possibility of delays in the conservation project’s efforts to accomplish its goals.
  4. Irrevocable Donations: Donations are irrevocable and unconditional. Contributors are not entitled to a refund unless agreed upon by the charity, and any arrangements for a refund must be directly made with the charity. Once refunded, the charity has no further obligation to the contributor.
  5. GAAAP’s Limited Responsibility: GAAAP is not responsible for the fulfillment of promises made by conservation projects.
  6. Legal Action by Contributors: If a conservation project fails to meet the terms of the agreement, contributors may report the project to GAAAP in order to investigate and potentially terminate the conservation project or pursue legal action against the project without GAAAP’s involvement.
  7. Privacy of User Information: When donating to or volunteering for a conservation project, the project receives certain information such as donor names and email addresses. It is the project’s responsibility to keep this information private and use it solely for GAAAP projects. Sharing or distributing user information without permission is prohibited.
  8. Contract between Beneficiaries of Conservation Projects and Contributors:

GAAAP cannot be held responsible if an NPO campaign fundraises for individuals or groups not affiliated with registered charities or conservation projects. While efforts are made to vet these campaigns, GAAAP cannot guarantee specific use of donations. The terms are outlined as follows:

  1. Vetting and Purpose of Donations: GAAAP strives to vet conservation organizations and projects. However, GAAAP does not warrant the specific use of donations and is not responsible for dissatisfaction with how recipients use donations or any misuse or non-use of such donations.
  2. Recipient-Donor Dealings: After donations, all further dealings are solely between the donor and the recipient organisations.
  3. Liability of GAAAP: GAAAP has no liability to donors for the use or misuse of donations made to a GAAAP conservation project. While pages may state specific purposes for donations, GAAAP cannot guarantee their use for such purposes.
  4. User Responsibility: Users must ensure that the cause stated on a relevant GAAAP page aligns with their intended support and purpose.

 

  1. FICA Legislation Requirements

All transactions using PayFast (greater than or equal to) ≥R20 000 are subject to verification under FICA regulations and South African law. Our finance team will contact you for the following:

  1. Copy of Identity document or passport.
  2. Proof of residential address in your country of permanent residence.
  3. Confirmation of your donation.
  4. Authorization to proceed with remitting your donation to the supported campaign.

  1. Premium Membership and Payment

Premium Membership: To offer additional features and benefits to our valued conservation members, we provide the option to become a premium conservation member. Here’s what you need to know about premium membership and the associated terms:

  1. Enhanced Features: Premium membership is designed to enhance your experience on GAAAP. As a premium conservation member, you gain access to exclusive features and tools that can help you promote your conservation efforts more effectively and connect with a broader audience. Some of these features will evolve over time and will be adjusted accordingly into our terms and conditions.
  2. Premium Membership Terms: By choosing to become a premium conservation member, you agree to our premium membership terms. These terms encompass various aspects, including but not limited to:
  3. Fees: Premium membership may involve periodic fees or subscription charges. The specific fee structure, payment methods, and billing cycles will be outlined in our premium membership page.
  4. Payment Methods: You’ll have options for payment methods to complete your premium membership subscription. These methods are designed for your convenience and security.

iii. Billing Cycles: Premium membership may be billed on a recurring basis, typically monthly or annually. The billing cycle details will be clearly communicated in the premium membership terms.

  1. Fee Deductions: It’s important to note that GAAAP deducts a 10% transaction fee from each donation made through the platform from the original donation amount. This fee is applied to cover transaction and developmental costs associated with processing and maintaining the platform. This deduction helps ensure the sustainability and continuous improvement of GAAAP so that we can better support conservation efforts. Our payment gateways incorporate transaction fees, and it is incumbent upon you to acquaint yourself with these charges. Our primary payment gateway, integrated into our platform, is PayFast, they are a trusted provider of secure payment gateway services in South Africa. To enlist your conservation and to be able to transact through our Payfast Gateway and payout to your nominated South African bank account, it is imperative to possess an approved PayFast Account. Regrettably, this application process is currently limited to South African Organizations and can be done on their website. We are committed to enhancing the platform to facilitate the integration of international payment gateways in the future. See Clause 20 for more information
